The Secretary of State is one of the executive bodies of Nebraska. The election of the secretary takes place every four years. The current person in charge is Bob Evnen. He was appointed to the position in 2019.
Like in any other place, the office is in charge of many different responsibilities. First of all, it is important to say that the office is composed of four divisions:
Business Services
Elections
Records Management
Licensing
We are going to discuss the functions of the first and fourth points.
The primary duties of these departments include collecting, certifying, and disseminating rules and regulations. Besides, the secretary has the task of fostering trade, cultural exchange, and academic collaboration.
The business services division registers:
Sole proprietorships
Partnerships
Corporations
Limited liability companies
Trade names, and trademarks
Moreover, the division handles the formation of these entities.
Depending on the type of entity, there are some specific documents to file with the Nebraska Secretary of State. For each entity, there are certain nuances to be aware of.
You have to submit a trade name application for a Sole Proprietorship, for example. For a Limited Partnership, you have to submit a certificate of a limited partnership.
A corporation, instead, requires submitting articles of incorporation. A certificate of organization for filing is needed for a Limited Liability Company.
After you have decided on the type of your entity, you should consider a name. This is a very important stage, as you are making sure the name is available. For this, however, you must submit an availability request.
You can do this both via fax (402-471-3666) and by mail ([email protected]).
Moreover, you can reserve it:
After that, check it through the government's business search web page.
If you want to have a corporation or an LLC, you must have a registered agent, according to the law. The agent is the person who must provide his or her information on the documentation. Besides, he or she will handle all the communication with the official bodies.
Yet, the agent cannot live anywhere other than Nebraska. If the agent does not align with the rules, the company will be dissolved.
If, however, he or she has to leave the state, you have the possibility of changing the registered agent. For this, you will need to submit an appropriate form along with the fee.
Every company listed is required to file a report either annually or biannually. If not, it will dissolve. Thus, follow the law and be on the safe side.
You can file the documents as follows:
In-person
By mail
Remember to send a cover letter that includes contact information and a phone number. Thereby, the filing officer will contact you in case of a question.
However, you should file your phone number separately from the documents, as this documentation will be scanned and made public.
As for the fees, follow the link provided above. Verify the name's availability once again to avoid rejection. Besides, you have to sign your check and make it payable to the Nebraska Secretary of State.
The Licensing Division oversees:
Licensing of collection agencies
Debt management agencies
Private detectives
Polygraph and voice stress examiners
There is no general business license in Nebraska. However, you should obtain one in some specific cases.
If you want to get a private detective certificate, you must complete the application. Before that, make sure you meet the following minimum requirements:
3,000 hours of experience, or
2,500 hours with a field-specific associate's degree, or
2,000 hours with a field-specific bachelor's degree, and
Take an exam.
The renewal is due every even-numbered year by June 30.
If you want to apply for a collection agency certificate, submit an application to the NMLS. The abbreviation stands for the Nationwide Mortgage Licensing System.
You have to collect all the necessary documents:
NMLS checklists
Personal/Corporate financial statement
Officers’ interrogatory
Customers for reference
Certificates held in other states
Yet, you may only submit an electronic application. If you have any further questions, please call the relevant division at (402) 471-8606.
Though the Nebraska Secretary of State’s Office receives questions about registering charitable solicitors, the office does not register with them.
Accordingly, the office does not have a database of relevant information. Thus, you have to find another source of information.
To get a thorough picture of the costs and expenses for licensing, follow the link that we have provided above about the forms and fees. For more information on the business license, please follow the link.
